The GTA is now looking for a suitably qualified and experienced professional to strengthen its legal, governance and compliance functions.
What Will You Do?
The Manager: Legal Services, Compliance and Governance will be responsible for managing and coordinating governance frameworks, regulatory compliance, legal advisory services and contract administration across the organisation.
The position involves supporting the Company Secretary and providing legal and governance guidance to the Board, Executive Management and various business units.
1. Corporate Governance and Governance Framework Management
Your responsibilities will include:
- Supporting the development, review and implementation of GTA governance frameworks, policies and procedures.
- Working with governance documents such as Board Charters, Delegations of Authority and Committee Terms of Reference.
- Monitoring governance compliance across the organisation and reporting deviations to the Company Secretary.
- Ensuring quality assurance of Board and Committee submissions, resolutions and governance documentation.
- Tracking and coordinating the implementation of Board and Committee resolutions.
- Facilitating governance awareness sessions and training initiatives.
- Conducting governance maturity assessments.
- Recommending improvements in line with corporate governance best practices.
2. Compliance Management and Regulatory Alignment
The successful candidate will also:
- Develop and implement organisational compliance frameworks aligned with the Public Finance Management Act (PFMA), Treasury Regulations and other applicable legislation.
- Conduct compliance monitoring and reviews across business units.
- Prepare compliance reports for Executive Management, Board Committees and relevant regulatory authorities.
- Monitor legislative developments and advise management about their regulatory implications.
- Coordinate compliance awareness programmes.
- Support internal investigations where required.
3. Legal Advisory Services and Litigation Support
Key legal responsibilities include:
- Providing legal opinions and advisory services to Executive Management, the Board and business units.
- Drafting, reviewing and negotiating legal documents, including agreements, Memoranda of Understanding (MOUs) and contracts.
- Managing litigation matters in collaboration with external legal counsel.
- Conducting legal research.
- Monitoring developments in legislation and case law.
- Assessing legal risks and recommending appropriate mitigation strategies.
4. Contract Administration and Legal Document Management
The Manager will be expected to:
- Oversee the drafting, vetting and negotiation of supplier contracts, service-level agreements and partnership agreements.
- Maintain and manage a centralised contract management system.
- Monitor contractual deliverables, compliance requirements and renewal timelines.
- Conduct legal risk assessments relating to contractual commitments.
- Ensure contract templates remain legally compliant.
- Ensure contracts are aligned with organisational policies and requirements.
5. Board and Committee Governance Support
The position will also support the organisation’s Board and Committees by:
- Assisting the Company Secretary with Board and Committee packs, agendas and governance documentation.
- Supporting minute-taking, document circulation and governance administration.
- Tracking the implementation of Board resolutions.
- Preparing status reports on Board and Committee resolutions.
- Ensuring secure storage and management of governance documentation.
- Supporting Board induction programmes.
- Assisting with governance evaluation processes.
Minimum Requirements
